Nudge All End User License Agreement

This End User License Agreement ("EULA") is between you and PremiumAV Private Limited ("PremiumAV", "we", "us"), the operator and licensor of Nudge All (the "Application"). It complements, and does not replace, the Nudge Terms of Service and Privacy Policy.

1. License to use Nudge All

Subject to this EULA and the Terms of Service, PremiumAV grants you a limited, personal, non-exclusive, non-transferable, revocable license to install, access, and use Nudge All on devices you own or control for your personal or internal household life-administration purposes. No ownership rights are transferred to you.

2. Account and service relationship

Nudge All connects to the Nudge service at nudgeall.com. Some functionality requires an account, an internet connection, and supported third-party services. You are responsible for the accuracy of information you enter and for keeping your account credentials secure.

3. Acceptable use

You must not misuse the Application, attempt unauthorized access, interfere with the service, evade plan limits, introduce malicious code, or use Nudge All to store, transmit, or facilitate unlawful or infringing material. You may not reverse engineer or redistribute the Application except where applicable law expressly permits it.

4. Ownership and intellectual property

Nudge All, its software, branding, interfaces, and related materials are owned by PremiumAV or its licensors and are protected by applicable intellectual-property laws. All rights not expressly granted in this EULA are reserved.

5. Your content and documents

You retain ownership of documents, reminders, contact details, and other content you add. You grant PremiumAV only the limited rights needed to host, process, back up, and deliver that content as necessary to operate the service. You are responsible for having the right to upload and use your content and should retain independent copies of critical documents.

6. Third-party services

Features may rely on hosting, email, push notifications, PayPal, app stores, optional AI services, or WhatsApp/Meta when you expressly enable them. Third-party services are governed by their own terms and availability. WhatsApp reminders are optional and are sent only after the required user settings and consent checks pass.

7. Subscriptions and payments

The Free plan and Pro subscription are described before purchase. Website subscriptions are currently processed through PayPal. Purchases made through an app store, if offered, are processed under that store's billing terms and controls. Cancellation stops future renewals but does not itself delete your account. 8. Updates and changes

We may provide updates that fix defects, improve security, or change features. Some updates may be required for continued use. We do not promise that every feature will remain available indefinitely, but material changes remain subject to applicable law and the published Terms.

9. Termination

You may stop using Nudge All at any time and may permanently delete your account from Settings → Privacy & Data. This license ends if you materially breach this EULA or the Terms. On termination, you must stop using copies of the Application, while provisions that by nature should survive termination remain effective.

10. Warranty disclaimer

To the maximum extent permitted by applicable law, Nudge All is provided "as is" and "as available" without warranties of uninterrupted operation, error-free reminders, or fitness for a particular purpose. Nudge All is an organization aid, not legal, medical, tax, or financial advice. Keep independent records and do not rely on a reminder as your only safeguard for a critical deadline.

11. Limitation of liability

To the maximum extent permitted by applicable law, PremiumAV will not be liable for indirect, incidental, special, consequential, or punitive loss, or for loss of data, profits, opportunity, or missed deadlines arising from use of Nudge All. Nothing in this EULA excludes liability that cannot lawfully be excluded or limits statutory consumer rights.

12. Applicable law and platform terms

This EULA is subject to applicable law and mandatory consumer protections. If you obtained Nudge All through Google Play or the Microsoft Store, the store's applicable platform terms also apply; PremiumAV, not the store operator, is responsible for the Application except where those platform terms state otherwise.
